First Energy Metals (CSE: FE) (OTCQB: FEMFF) (WKN: A2JC89) today announced its intention to complete a plan of arrangement under the British Columbia Business Corporations Act, pursuant to which First Energy would spin off assets related to its current exploration properties located in Quebec and Ontario (the “spin-out transaction”) into a separate wholly owned subsidiary of First Energy (“Spinco”). Prior to completion of the transaction, First Energy intends to consolidate its common shares on the basis of 3.80 existing common shares for 1 post-consolidation common share. To date, First Energy Metals has a total of 85,064,215 common shares issued and outstanding and, once the share consolidation becomes effective, the company will have a total of approximately 22,385,320 post-consolidation shares issued and outstanding. As part of the share consolidation, the company will change its name to FE Battery Metals Corp. The share consolidation is anticipated to become effective on or before Oct. 27, 2022, at which time, the company’s post-consolidation shares will commence trading on the CSE under the same trading symbol FE. The company also intends, prior to completion of the spin-out transaction and post share consolidation, to complete a non-brokered private placement for gross proceeds of up to $1,500,000. The share consolidation and private placement are subject to the approval of the Canadian Securities Exchange. In addition, the spin-out transaction is subject to various customary closing conditions, including among others, the approval of the British Columbia Supreme Court, the shareholders of the company, and the Canadian Securities Exchange. First Energy intends to seek a subsequent listing on the Canadian Securities Exchange of Spinco.

MANILA, Philippines — Keanu Jahns returns to the Philippine Golf Tour with his game a notch sharper and his hunger for victory even greater as he shoots for an elusive win in the circuit’s final stages. The ICTSI Pueblo de Oro Championship unwraps on Oct. 12 in Cagayan de Oro, with Jahns expected to put his long, powerful game to good use on Pueblo de Oro’s open layout and finally break into this year’s PGT winner’s circle. The Fil-German also brings with him a boost in confidence from his recent campaign in the DP World Tour Qualifying, where he came within two strokes of securing one of the coveted Top 13 spots. Although he fell short in the final round in Denmark, Jahns showed he had the game to contend, staying in the hunt through the first three rounds before wavering on the last day. More importantly, the experience gave him a valuable glimpse of the level required to compete on a bigger stage. Jahns hopes to carry that experience – and the lessons gained from it – into Pueblo de Oro, where he seeks to turn another strong showing into the victory that has eluded him this season. A three-time PGT winner last year, including the season-ending Match Play Championship, Jahns has come close in five starts this year but has yet to capture a title. He has posted three Top 5 finishes, highlighted by a third-place effort at Lakewood and a fourth-place finish at Pradera Verde. He also tied for fourth in his most recent PGT appearance at Summit Point before embarking on his bid to reach the lucrative DP World Tour through a series of qualifiers. But Jahns will have plenty of formidable challengers at Pueblo de Oro, where another fiercely contested four-day battle is expected to unfold. The last several PGT legs have produced tight, drama-filled finishes, and the most recent stop in Iloilo was no exception. Jhonnel Ababa endured a tournament-long test of will and character before displaying poise in the stretch run to outmaneuver Jeffren Lumbo and snap a two-year title drought in the circuit organized by Pilipinas Golf Tournaments, Inc. That victory gave the Apo ace added momentum heading into Pueblo de Oro, but a host of other contenders are equally motivated to claim a share of PGT glory with only three legs remaining this season, including the South Pacific and Apo legs, both set in Davao later this month. Aside from Jahns and Ababa, the field features a mix of seasoned champions and emerging contenders led by reigning Order of Merit winner Angelo Que, already a two-time champion this year, and Tony Lascuña, fresh from a pro-am tournament triumph. Former leg winners Rupert Zaragosa, Reymon Jaraula, Guido van der Valk and Lumbo are also expected to contend, along with Negros Occidental first-time champion Art Arbole. Russell Bautista, Ryan Monsalve, Jonas Magcalayo, Jeremy Tandoy and Ivan Yabut, meanwhile, are eager to test themselves against the established names and add more firepower to an already deep field. No first-round bye for projected No. 13 seed Eala at Wuhan

MANILA, Philippines — Due to a smaller draw, projected No. 13 seed Alex Eala won't receive a first-round bye at the WTA 1000 Wuhan Open in China. The Filipino tennis ace will compete in the tournament -- her first Tour event after a bronze medal finish at the 20th Asian Games in Japan -- slated from October 12 to 18. Unlike most 1000 events where 96 players make up the field and the top 32 players receive first-round byes, Wuhan is limited to a 56-player draw. In this case, only the top eight get to skip the first round and start their campaign in the second. The same rule applies to the only two other 1000 events with a 56-player draw in Doha and Dubai. Thus, world No. 18 Eala won't have the bye she used to have in previous 1000 events. The 56-player draw -- comprised of 43 direct entrants, 8 qualifiers, 4 widlcards, and 1 special exemption -- is also the reason why Eala had to go through the qualifiers last year. Eala was No. 58 at the time and therefore could not get a direct entry. She lost to Moyuka Uchijima in the first round of the qualifiers last year, 4-6, 6-3, 2-6. This year, Eala is projected to be seeded five places higher than her actual ranking due to the withdrawals of five higher-ranked players. World No. 1 Elena Rybakina (foot), No. 4 and last year's champ Coco Gauff (fatigue), No. 11 Amanda Anisimova (wrist), No. 15 Victoria Mboko (knee), and No. 17 Naomi Osaka (change of schedule) pulled out of the competition. World No. 2 Aryna Sabalenka, No. 3 Jessica Pegula, No. 5 Mirra Andreeva, No. 6 Linda Noskova, No. 7 Elina Svitolina, No. 8 Karolina Muchova, No. 9 Iga Swiatek, and No. 10 Marta Kostyuk made the top eight, in that order, and will be the ones to get first-round byes. The singles draw ceremony was scheduled for Saturday at 4 p.m. After the Asian Games, Eala went to France for Paris Fashion Week on October 5. The 21-year-old also appeared in tennis great Maria Sharapova's podcast "Pretty Tough". Last Thursday, the Wuhan Open shared photos of Eala training already.
